Brother Industries to Purchase Kodak’s Document Imaging Segment

Earlier this week, Brother announced via press release that they have entered into an agreement with Kodak to “acquire certain assets” of Kodak’s Document Imaging business. Under the terms of the agreement, the acquisition of these assets will cost Brother roughly $210 million. Additionally, Brother has agreed to assume the liabilities of these assets which is estimated to be about $67 million. Because of Kodak’s status with bankruptcy, this acquisition requires approval from U.S. Bankruptcy court and is required to go through a bidding process, regulatory approvals and other standard closing conditions. If all of these items fall into place, the process is supposed to wrap up during the third fiscal quarter of 2013.
Toshikazu Koike, Representative Director and President of Brother Industries, Ltd., HP states, “‘We believe that Kodak Document Imaging is an asset that will help to strengthen Brother?s global position in document imaging solutions and enable us to provide an enhanced product and service offering to an expanded universe of customers. Kodak Document Imaging has a long history of innovation in the scanning and document field and is a natural fit for Brother.’”
Brother believes that this acquisition of Kodak’s business which includes Document Scanners, Image Capture Software, and Technical Services will allow them to offer an even stronger portfolio of document imaging solutions. It will provide a solid complement to Brother’s existing set of devices which includes Multi-Function Center® and Brother ImageCenter™ scanners. In addition to the technology, under the terms of the agreement, Brother will also acquire additional personnel for the continued operation and support of Document Imaging. According to Brother, the deal “ will allow Brother to offer a more robust portfolio of document scanning hardware, services and solutions to small, medium and large businesses, positioning the Company to take full advantage of the evolving office solution marketplace”.
